The Board of Directors of Waaree Energies Limited, in a meeting held on December 29, 2025, accepted the resignation of Mr. Amit Paithankar, Whole Time Director & Chief Executive Officer, who is leaving to pursue opportunities outside the organization. Mr. Paithankar will be relieved from his duties on May 15, 2026, or an earlier mutually agreed date. The Board expressed its appreciation for his contributions to the company's operational capabilities and growth.

Concurrently, based on the recommendation of the Nomination and Remuneration Committee, the Board approved the appointment of Mr. Jignesh Rathod, currently Director – Operations, as Chief Executive Officer – Designate, effective immediately. Mr. Rathod will work alongside the outgoing CEO during the transition. He is slated to officially become the Chief Executive Officer and Key Managerial Personnel from May 16, 2026, or earlier upon Mr. Paithankar's departure.

Mr. Jignesh Rathod brings over 18 years of experience in manufacturing operations, capacity expansion, and process optimization. He has been with Waaree Energies since November 28, 2007, and has played a key role in scaling production capacities and driving operational efficiencies. The Board expressed confidence in his leadership for the company's next phase of growth, emphasizing leadership continuity and strategic momentum.
