Vijaya Diagnostic Centre Limited has approved the allotment of 1,71,792 equity shares of face value ₹1 each. This allotment is pursuant to the Scheme of Amalgamation of Medinova Diagnostic Services Limited with Vijaya Diagnostic Centre Limited, which was approved by the Hon’ble National Company Law Tribunal, Hyderabad Bench, vide its order dated October 13, 2025.

The equity shares have been allotted to the eligible shareholders of Medinova Diagnostic Services Limited whose names appeared on the Register of Members as of the Record Date, November 25, 2025. These newly allotted shares will rank pari passu with the existing equity shares of Vijaya Diagnostic Centre Limited and will be issued in dematerialized form. They will be listed on BSE Limited and the National Stock Exchange of India Limited, subject to necessary approvals.

A trust, VDCL Physical Shareholders Trust, has been established for shareholders of Medinova who held shares in physical form. These shareholders can approach the Registrar and Share Transfer Agent, KFin Technologies Limited, or the Company for dematerialization. Fractional entitlements arising from the allotment have been consolidated and allotted to Catalyst Trusteeship Limited, which will dispose of them in the open market and distribute the proceeds to eligible fractional shareholders.

Consequent to this allotment, the issued, subscribed, and paid-up equity share capital of Vijaya Diagnostic Centre Limited has increased from ₹10,26,87,111 to ₹10,28,96,728.
