Veranda Learning Solutions Limited has filed its scheme for the demerger of its Commerce Vertical with the National Company Law Tribunal (NCLT), Chennai. This follows the receipt of an observation letter with no adverse remarks from the National Stock Exchange of India Limited and BSE Limited. The proposed demerger will establish J.K. Shah Commerce Education Limited as a new, standalone listed entity for all commerce education operations. This new entity will consolidate brands such as J.K. Shah Classes, BB Virtuals, Navkar Digital Institute, Tapasya College of Commerce, and Logic School of Management. It will offer test preparation for CA, CS, CMA, and ACCA across India and internationally. The objective of this strategic move is to create a focused platform with independent capital allocation, improved valuation transparency, and to unlock long-term shareholder value. Professor J.K. Shah will serve as the chairman of the new entity. Mr. Suresh Kalpathi, Executive Director and Chairman of Veranda Learning, stated that the NCLT filing is a significant milestone reflecting the company's strategy of building focused education platforms with strong governance and sustainable value creation. Professor J.K. Shah expressed that this step brings them closer to establishing a dedicated commerce education platform that can scale efficiently while maintaining high academic and governance standards. The demerger process is progressing as planned and is subject to shareholder and other statutory approvals.
