UPL Limited has announced the incorporation of its new step-down subsidiary, UPL GCC LATAM S.A.S, in Colombia. The confirmation of completion of all legal and administrative formalities was received on January 8, 2026.

UPL GCC LATAM S.A.S was incorporated on December 19, 2025, and will be engaged in Business Management Activities and serve as a Shared Service Center for the group. The entity has a newly incorporated status, with no prior turnover. The incorporation is not considered a related party transaction, and the promoter/promoter group/group companies do not hold any direct or indirect interest in UPL GCC LATAM S.A.S.

UPL GCC LATAM S.A.S is a wholly-owned subsidiary, with 100% shares held by UPL COLOMBIA S.A.S, which is itself a step-down subsidiary of UPL Corporation Limited, where UPL Limited holds a 77.80% stake. The initial capital subscription for UPL GCC LATAM S.A.S amounted to approximately $2.65K in cash. No further regulatory approvals are required for this investment.
