Univastu India Limited announced the outcome of its Extra Ordinary General Meeting (EGM) held on Tuesday, 20th January, 2026. The meeting, which commenced at 11:00 A.M. IST and concluded at 11:30 A.M. IST, saw shareholders approve two key resolutions previously sanctioned by the Board of Directors on 19th December, 2025.
The first resolution approved the issuance of 35,00,000 Fully Convertible Warrants to promoters Mr. Pradeep Khandagale and Mrs. Rajashri Khandagale. These warrants, with a face value of ₹10 each, were issued at a price of ₹84 per warrant, including a premium of ₹74. This preferential issue is expected to raise an aggregate amount of up to ₹29,40,00,000 (₹294 crore).
The second resolution approved an increase in the company's borrowing limit by an additional ₹200 crore, over and above the existing ₹100 crore limit. This brings the total borrowing limit to ₹300 crore, as per the provisions of Section 180(1)(c) of the Companies Act, 2013.
Details of the warrant issuance, including the post-allotment shareholding of the promoters, have been disclosed in adherence to SEBI regulations. The warrants have a tenor of 18 months from their allotment date and are convertible into equity shares.
