Triveni Engineering & Industries Limited (TEIL) has announced the receipt of an order from the Hon'ble National Company Law Tribunal, Allahabad Bench, dated December 16, 2025. This order pertains to a composite scheme of arrangement involving TEIL, Sir Shadi Lal Enterprises Limited (SSEL), and Triveni Power Transmission Limited (TPTL). The scheme facilitates the amalgamation of SSEL into TEIL and the demerger of the PTB Undertaking of TEIL into TPTL, as per Sections 230 to 232 of the Companies Act, 2013. The Hon'ble Tribunal, vide its order in Company Petition No. 37/ALD/2025, has allowed the second motion petition. Notices are to be issued to various authorities, including the Central Government, Income-tax authorities, Registrar of Companies, Official Liquidator, BSE Limited, and NSE, for their representations within thirty days. The order also directs publication of notices in the Financial Express (English) and Jansatta (Hindi) newspapers. The matter has been scheduled for further hearing on February 5, 2026.
