This strategic move is part of the company's international business expansion strategy. The incorporation and registration formalities in Santiago have been completed, with post-incorporation procedural and regulatory compliances underway for the commencement of commercial operations. The proposed capital infusion into the subsidiary will be made in due course, subject to necessary approvals and applicable legal and regulatory formalities. The subsidiary, TINNA RUBBER CHILE SpA, has an authorized share capital of Chilean Pesos 500,000,000. Its line of business includes waste management and recycling, specifically the collection of non-hazardous waste and material recovery. The primary objective is to expand the company's global footprint and strengthen its global supply chain of end-of-life tyres (ELTs), plastic waste, battery waste, and other allied waste management and recycling activities. The company will hold 100% of the share capital, involving a subscription of 50,000,000 ordinary registered shares with a nominal value of CLP 10 each, equivalent to convertible Indian rupees, to be infused in one or more tranches. The incorporated entity, established on January 13, 2026, is considered a related party of the Company, with no interest from the Promoter/Promoter group beyond this relationship. The consideration will be in cash and kind, such as capitalization of exports or payments due.
