Tech Mahindra Limited has announced the incorporation of its step-down subsidiary, Yabx Technologies Tanzania Limited ("Yabx Tanzania"), in the United Republic of Tanzania. This new entity was incorporated on 10th December, 2025, by Yabx Technologies (Netherlands) B.V. ("Yabx Netherlands"), which is a wholly-owned subsidiary of Comviva Technologies Limited, itself a subsidiary of Tech Mahindra. Yabx Tanzania's business objective is to provide software and analytics platform and related services within Tanzania. The certificate of incorporation was issued by the Office of the Registrar of Companies on 10th December, 2025. The initial share capital of Yabx Tanzania is TZS 2,419,000, comprising 100 shares of TZS 24,190 each, with Yabx Netherlands holding 100% of the shareholding. As the entity is newly incorporated, its business operations have not yet commenced, and therefore, its turnover and size are not applicable at this stage. The incorporation aligns with Tech Mahindra's main line of business. The initial subscription by Yabx Netherlands for the incorporation of Yabx Tanzania does not fall under the purview of Related Party Transactions for Tech Mahindra. However, subsequent to its incorporation, Yabx Tanzania has become a subsidiary and thus a Related Party. The promoter, promoter group, or group companies of Tech Mahindra do not have any interest in Yabx Tanzania beyond this relationship.
