Swan Defence and Heavy Industries Limited has announced a significant board meeting outcome held on December 17, 2025. During this meeting, the Board of Directors, upon the recommendation of the Nomination & Remuneration Committee, approved the appointment of Ms. Priti P. Dave as the Company Secretary and Compliance Officer, effective from December 17, 2025. As per Section 203 of the Companies Act, 2013, Ms. Priti Dave will also serve as a Key Managerial Personnel of the Company. She is an Associate Member of the Institute of Company Secretaries of India (ACS 19469) and a Law Graduate with 20 years of experience in secretarial and legal functions, having previously been associated with Nilkamal Limited. In addition to the appointment, the Board also approved availing financial assistance up to ₹800 Crores from Hazel Infra Limited, the company's Holding Company. This financial assistance is intended to provide working capital. Hazel Infra Limited, which holds 94.91% of Swan Defence's equity shares, is a related party. The Board meeting commenced at 5:00 p.m. and concluded at 6:17 p.m. The company also provided an updated list of Key Managerial Personnel (KMP) effective from December 17, 2025, including RAdm Vipin Kumar Saxena (Chief Executive Officer), Mr. Rajesh Bhardwaj (Chief Financial Officer), and Ms. Priti P. Dave (Company Secretary & Compliance Officer).
