Based on the recommendation of the Nomination and Remuneration Committee, the Board has approved the appointment of Mr. Magnus Lennart Prick, Mr. Bastian Thomas, and Mr. Antonio Molle as Additional Directors (Non-Executive, Non-Independent). These appointments are effective from January 13, 2026, and are subject to shareholder approval. Mr. Magnus Lennart Prick holds a Master of Laws (LL.M.) and a Bachelor of Business Administration (B.B.A.). He is currently the Head of Automotive Corporate Legal and has over 15 years of experience in business law, corporate matters, M&A, and governance. He was previously associated with Volvo Cars, Volvo Group, and Mannheimer Swartling. Mr. Bastian Thomas possesses a degree in Business Engineering with a major in Mechanical Engineering. He is currently the Director - Head of Sales Americas, EMEA & India for SKF and has over 20 years of experience. His prior roles include positions at BMW Group, TQ Group, Volvo Cars, and Grammer AG. Mr. Antonio Molle, a Mechanical Engineering graduate, is the SKF Group Global Operations Director Automotive. He has over 30 years of experience within SKF companies, with expertise in due diligence, organizational restructuring, lean manufacturing, and digitalization. Concurrently, the Board has accepted the resignations of Ms. Kerstin Enochsson, Mr. Karl Robin Joakim Landholm, and Mr. Mukund Vasudevan from their positions as Directors (Non-Executive, Non-Independent). Their resignations are effective from the closure of business hours on January 12, 2026, due to other occupancies and commitments. All newly appointed directors are confirmed not to be debarred by any regulatory authority and are not related to any existing directors or key management personnel of the company. The company will seek shareholder approval for the new appointments within three months from their effective date.
