Shriram Pistons & Rings Limited has successfully completed the acquisition of 100% outstanding capital of Antolin Lighting India Private Limited ("T1") and 100% outstanding capital of Grupo Antolin India Private Limited ("T2"). This was executed via a Share Purchase Agreement (SPA) with Grupo Antolin -Irausa SA and Grupo Antolin Ingenieria SA.

Consequently, the company has also indirectly acquired approximately 99.99% of the outstanding capital of Grupo Antolin Chakan Private Limited ("T3"), which is a subsidiary of T2. Shriram Pistons & Rings Limited also directly acquired the remaining 1 equity share of T3, constituting approximately 0.01% of its outstanding capital.

Following the completion of the acquisition, T1 is now a wholly-owned subsidiary of Shriram Pistons & Rings Limited. T2 has also become a wholly-owned subsidiary and an unlisted material subsidiary of the company, as per SEBI Listing Regulations. T3 is now a step-down subsidiary of the company.
