Schneider Electric Infrastructure Limited has announced a postal ballot process to seek approval from its members for a material related party transaction. The proposed resolution aims to approve transactions with Schneider Electric IT Business India Private Limited, a fellow subsidiary, for an aggregate value of up to ₹605 Crores during the financial year 2026-27. These transactions may include the sale and purchase of goods and services, stores and spares, and availing/rendering of any kind of services or other reimbursements or borrowings. The approval is sought for entering into, continuing, modifying, or renewing existing contracts, or for fresh transactions. The e-voting process for the postal ballot will commence on Thursday, June 4, 2026, at 09:00 AM IST and conclude on Friday, July 3, 2026, at 05:00 PM IST. The resolution will be deemed passed on Friday, July 3, 2026. The company has appointed Mr. Anirudh Grover, or failing him, Mr. Vipin Dhameja, as the scrutinizer for the e-voting process. The results of the postal ballot are expected to be announced on or before Tuesday, July 7, 2026. Members whose names appear on the Register of Members or as beneficial owners as of Friday, May 29, 2026, are eligible to vote. The voting is restricted to remote e-voting only. The company has also highlighted that related parties and members holding more than 10% of the shareholding in the company shall not vote to approve the resolution.
