Sapphire Foods India Limited has initiated a postal ballot process to seek approval from its members for shifting the company's registered office from the State of Maharashtra to the State of Haryana. This move is intended to facilitate the seamless implementation of a Scheme of Arrangement, aiming to bring synergies and improve operational efficiency.

The notice for the postal ballot, sent electronically to members registered as of January 2, 2026, requires a special resolution for the approval. The remote e-voting period will commence on January 10, 2026, at 9:00 a.m. IST and conclude on February 8, 2026, at 5:00 p.m. IST. The results of the postal ballot are expected to be announced on or before February 10, 2026.

This shift will also necessitate a consequential amendment to Clause II of the Memorandum of Association of the Company. The company has appointed MUFG Intime India Private Limited as its Registrar and Transfer Agent to manage the remote e-voting facility. The management has stated that this relocation will not affect the company's operations or lead to any employee retrenchment.
