S Chand And Company Limited announced that its wholly owned subsidiary, New Saraswati House (India) Private Limited ("NSHIPL"), has executed agreements to acquire 100% ownership in CPD Singapore Education Services Pte. Limited ("CPD Singapore").

The acquisition will be completed in two tranches for a total value of SGD 1,500,000 (approximately ₹9.15 crore), subject to the terms and conditions outlined in the agreements. Upon completion, CPD Singapore will become a step-down subsidiary of S Chand And Company Limited.

CPD Singapore, incorporated in Singapore, is a provider of education-support services, specializing in publishing school books for the International Curriculum (IB/IGCSE). The acquisition aims to increase S Chand Group's exposure to the International Curriculum, a segment currently not covered, and expand its presence in international markets including the Middle East, South Asia, and SAARC regions.

The transaction is structured with an initial subscription of SGD 535,000 (approximately ₹3.26 crore) towards fresh issuance of shares and a subsequent purchase of SGD 965,000 (approximately ₹5.89 crore) for the acquisition of remaining equity shares from management shareholders. The acquisition is expected to be completed by February 28, 2026. CPD Singapore's operating turnover for the last three financial years was SGD 891,000 in 2024, SGD 958,000 in 2023, and SGD 910,000 in 2022.

This transaction does not involve related parties, and no promoter or promoter group entities have an interest in CPD Singapore. The consideration is in cash.
