Royal Orchid Hotels Limited (ROHL) has executed an agreement for the sale of its subsidiary, Multi Hotels Limited, to M/s Greenleaf Properties Limited. The transaction, which took place on January 29, 2026, signifies that Multi Hotels Limited has ceased to be a subsidiary of ROHL from the same date. The sale consideration for 96.37% shareholding held by ROHL in Multi Hotels Limited amounts to USD 3,412,500. The payment of this consideration is expected to be received in installments within 120 days from the agreement date. M/s Greenleaf Properties Limited, the buyer, is a company registered in Tanzania and is not associated with the promoter or group companies of ROHL. Interestingly, Mr. Chander K Baljee, Chairman and Managing Director of ROHL, who held 3.33% shares in Multi Hotels Limited, has also transferred his stake to Mr. Abdulhamid Haroon Pirmohamed, one of the purchasers. Mrs. Sunita Baljee (Director) and Mr. Keshav Baljee (Director) are also considered interested parties in this transaction. The sale has been conducted on an arm's length basis, despite Mr. Baljee's partial interest. The company has also noted that the trading window for buying/selling/dealing/trading in the shares of ROHL will remain closed for Quarterly Financial Results as per a previous letter dated December 31, 2025.
