Restaurant Brands Asia Limited (formerly Burger King India Limited) announced significant changes following a Board of Directors meeting held on July 7, 2026. The meeting concluded the acquisition of equity shares by Lenexis Foodworks Private Limited (Acquirer 1), Aayush Agrawal Trust (Acquirer 2), Inspira Foodworks Private Limited (Acquirer 3), and Mr. Aayush Madhusudan Agrawal (Acquirer 4), collectively referred to as the Acquirers. This acquisition involved the transfer of 6,56,23,090 equity shares from QSR Asia Pte. Ltd. (Seller 1) and 1 equity share from F&B Asia Ventures (Singapore) Pte. Ltd. (Seller 2) to the Acquirers on July 7, 2026. As a result of this transaction, the Acquirers and IATL have acquired control and are now classified as the promoters of the Company. Consequently, the Sellers have ceased to be promoters and are re-classified to the public category. The Board also accepted the resignations of Non-Executive Non-Independent Directors Mr. Amit Manocha, Ms. Roshini Bakshi, and Mr. Ajay Kaul, effective from the closure of the Board meeting. Furthermore, the Board approved the appointment of Mr. Madhusudan Bhagwandas Agrawal and Mr. Aayush Madhusudan Agrawal as Additional Non-Executive Non-Independent Directors, nominated by the Acquirers and IATL. These appointments are subject to member approval. Mr. Madhusudan Bhagwandas Agrawal has also been appointed as the Chairman of the Board, succeeding Mrs. Tara Subramaniam, who will continue as an Independent Director.
