Raymond Realty Limited (RRL) has announced the approval of its Raymond Realty Employees Stock Option Plan 2025 (RRL ESOP 2025) by its Board of Directors. This new ESOP scheme is a continuation of the Raymond Limited Employee Stock Option Plan (ESOP) 2023, rolled out to eligible employees following the demerger of Raymond Limited's Realty Business into RRL.

The option holders under the erstwhile scheme will be entitled to options under the RRL ESOP 2025 in a 1:1 equity share ratio, consistent with the Scheme of Arrangement for the demerger. The company will seek shareholder approval for this ESOP Scheme separately.

The RRL ESOP 2025 contemplates the grant of up to 16,80,588 stock options, which is in line with the earlier fixed exchange ratio. These options will cover up to 16,80,588 equity shares through primary and/or secondary routes. The exercise price for these ESOPs has been adjusted to Rs. 404.80, ensuring the total value of options and exercise price remains the same post-corporate action, as per SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.

Options granted can be exercised post-vesting, within an exercise period of up to 5 years from the original grant date in Raymond Limited. A minimum of one year is required between the grant and vesting of options. Vesting can be time-based or performance-based, determined by parameters set by the Nomination and Remuneration Committee (NRC), which also acts as the Compensation Committee for supervising the ESOP Scheme.
