Raymond Limited has announced the initiation of a postal ballot process to seek shareholder approval for crucial corporate matters. The company is requesting consent on three key items of special business.

The first item concerns the appointment of M/s. Chaturvedi And Shah LLP as Chartered Accountants to fill a casual vacancy in the office of Statutory Auditors. This appointment is proposed with effect from December 2, 2025, to serve until the conclusion of the next Annual General Meeting, with a remuneration cap of ₹30 Lakhs plus applicable taxes.

The second and third items relate to the appointment of two Independent Directors. Mr. Tikka Singh (DIN: 06521398) and Mr. Ajoy Mehta (DIN: 00155180) are proposed for appointment as Independent Directors, each for a term of five consecutive years, effective from January 1, 2026, to December 31, 2030.

In compliance with regulatory requirements, the postal ballot notice is being sent electronically to members. The remote e-voting period will commence on Tuesday, January 13, 2026, at 9:00 a.m. (IST) and conclude on Wednesday, February 11, 2026, at 5:00 p.m. (IST). The results of the postal ballot are expected to be declared within two working days of the conclusion of the voting period.
