Prime Focus Limited announced today that its members have approved the appointment of three new directors through a postal ballot dated February 6, 2026. Ms. Shalini Govil Pai has been appointed as an Independent Director for a term of five consecutive years, commencing from November 12, 2025, to November 11, 2030. She is currently the Vice President and General Manager of TV Platforms at Google LLC, overseeing products, designs, and engineering teams for Android TV OS and Google TV. Her previous roles include Senior Director at YouTube and Technical Director at Pixar Animation Studios. Ms. Govil Pai is also an international keynote speaker and has published books on digital production trends and leadership in technology. She holds a BS and MS in Computer Science and is a Distinguished Alumni from IIT-Mumbai and a Distinguished Engineer from Penn State. Mr. Nishant Avinash Fadia has been appointed as a Non-Executive Director, effective November 13, 2025. He is a Chartered Accountant (CA) and Certified Public Accountant (CPA). Mr. Fadia previously served as the Chief Financial Officer (CFO) for Prime Focus Limited until November 12, 2025. He has been with the company since 2000 and was instrumental in taking the company public in 2006. In his CFO role, he led financial planning, risk management, corporate finance, and investor relations. Mr. Björgólfur Thor Björgólfsson has been appointed as a Non-Executive Director, effective January 2, 2026. He is an Icelandic entrepreneur and investor known for his work in frontier markets since the early 1990s. His investment portfolio spans telecommunications, digital innovation, biotechnology, artificial intelligence, and sustainability. Mr. Thor's autobiography, "Billions to Bust—and Back: How I Made, Lost, and Rebuilt a Fortune, And What I Learned on the Way," was updated in December 2025. He was also recognized as one of the World Economic Forum's Young Global Leaders. None of the newly appointed directors have any inter-se relationships with the existing directors of the company, and none are debarred from holding the office of Director by any SEBI order or any other authority.
