* The Board of Directors of Nucleus Software Exports Limited, in a meeting held on November 18, 2025, approved amendments to the Company's Superannuation policy for senior management. * The superannuation age for the Chief Executive Officer (CEO) has been modified to 63 years from the standard 58 years. * The superannuation age for Key Managerial Personnel (KMP), Senior Management (apart from CEO), and other critical positions (as decided by NRC) has been modified to 62 years from the standard 58 years. * These extensions are discretionary, case-to-case, and subject to approval by the Nomination and Remuneration/Compensation Committee (NRC) and the Board of Directors upon completion of the standard retirement age of 58 years. * The Board also approved the re-appointment of Mr. Parag Bhise (DIN: 08719754) as a Whole-Time Director and CEO of the Company. * His re-appointment is for a further period of two years, effective from April 01, 2026, until March 31, 2028, subject to the approval of the Shareholders of the Company. * Mr. Parag Bhise is not debarred from holding the office of Director by SEBI or any other authority and is not related to any other Directors of the Company. * His current term as CEO is set to expire on March 31, 2026.
