NTPC Limited announced a significant change in its role concerning PTC India Limited following a meeting of its Board of Directors on January 30, 2026. The Board took note of an Office Memorandum dated January 16, 2026, from the Ministry of Power, Government of India, which outlines a new promoter arrangement for PTC India. Under this arrangement, NTPC Limited is designated to become the sole promoter of PTC India. Consequently, the other three existing promoters – Power Finance Corporation Limited (PFC), Power Grid Corporation of India Limited (POWERGRID), and NHPC Limited (NHPC) – will withdraw their nominee directors from PTC's Board and relinquish their promoter's rights as stipulated in the Articles of Association. Further changes include the CMD of NTPC functioning as the Non-Executive Chairman of PTC, while the current CMD of PTC will be redesignated as Executive Managing Director. The Ministry of Power may also withdraw its nominee director from PTC's Board upon the transfer of management control to NTPC and the withdrawal of nominee directors from other Central Public Sector Undertakings (CPSUs). These arrangements are contingent upon necessary amendments to PTC's Articles of Association and compliance with other regulatory and statutory requirements.
