Noida Toll Bridge Company Limited (NOIDATOLL) has announced the results of its postal ballot, as per Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The company had sought approval from its members for resolutions through e-voting and postal ballot forms, with a cut-off date of December 12, 2025. The Scrutinizer, Shri Sanjay Kumar, submitted his report on January 19, 2026, confirming that the resolution concerning the remuneration of Mr. Dheeraj Kumar (DIN: 07046151) as Whole Time Director, designated as Executive Director & Chief Executive Officer, was passed with the requisite majority. The resolution is deemed to have been passed on January 17, 2026, which was the last day for remote e-voting.

The voting results and the Scrutinizer's report have been uploaded on the company's website, www.ntbcl.com, and on the National Securities Depository Limited's e-voting website, www.evoting.nsdl.com. The results will also be filed with BSE and NSE in XBRL mode. A total of 56,546,709 votes were polled out of 186,195,002 outstanding shares, with 49,542,895 votes in favour and 7,003,814 votes against, resulting in the resolution being passed.
