The Board approved the appointment of Mr. Bikash Jain as the Chief Financial Officer (CFO) and designated him as Key Managerial Personnel (KMP) of the Company, effective January 16, 2026. Mr. Jain is a Chartered Accountant with over 20 years of experience, including a decade as CFO or Head of Finance in multinational corporations such as GSK, Colgate-Palmolive, Coca-Cola, and Hero Cycles Limited. He has a proven track record in driving profitable growth, improving cash flow, leading large-scale restructurings, and executing mergers.

Additionally, Mrs. Rupali Swami Kambli has been appointed as the Company Secretary and Compliance Officer, also designated as KMP, effective January 16, 2026. Mrs. Kambli is a Company Secretary, a Chartered Secretary, and a law graduate, bringing over 11 years of experience in corporate governance, regulatory compliance, and legal advisory. She has demonstrated expertise in navigating complex legal frameworks and ensuring robust compliance.

The Board also acknowledged the resignation of Mrs. Geeta Shah from her roles as Company Secretary and Compliance Officer, effective from the close of business hours on January 14, 2026. Mrs. Shah resigned due to her relocation outside India but will continue to be associated with the Company as an employee until February 28, 2026, to facilitate a smooth transition.

The Board meeting commenced at 3:35 PM IST and concluded at 4:50 PM IST. The company also updated the list of authorized personnel for determining the materiality of events and information disclosures, including Mr. Vivek Talwar (Chairman & Managing Director), Mr. Bikas Jain (CFO), and Mrs. Rupali Swami Kambli (Company Secretary & Compliance Officer).
