Megasoft Limited has announced the sanctioning of the Scheme of Amalgamation between Sigma Advanced Systems Private Limited (Transferor Company) and Megasoft Limited (Transferee Company) by the Hon'ble National Company Law Tribunal (NCLT), Chennai Bench. The final order was passed on December 16, 2025, and the company received the certified true copy on December 24, 2025. The amalgamation aims to leverage Sigma Advanced Systems' expertise in the Aerospace and Defence industry with Megasoft's focus in the same sector. The combined entity is expected to benefit from pooled resources, enhanced scale, improved management, and cost reduction, driving synergies across revenue opportunities and operational efficiencies. The NCLT's order, dated December 16, 2025, approves the scheme under Sections 230-232 of the Companies Act, 2013. The appointed date for the scheme is April 1, 2024. The scheme will lead to an increase in Megasoft Limited's authorized share capital and a change in its name to 'Sigma Advanced Systems Private Limited' upon becoming effective. The NCLT also ordered that all properties, rights, liabilities, and proceedings of the Transferor Company shall be transferred to and vested in the Transferee Company. All employees of the Transferor Company will be transferred to the Transferee Company on the same terms and conditions.
