This amalgamation, which was initially intimated on November 7, 2025, involves Mal Metalliks Private Limited (a step-down wholly owned subsidiary) and Multitech Auto Private Limited (a wholly owned subsidiary) merging with Ramkrishna Casting Solutions Limited (a wholly owned subsidiary). The scheme's appointed date is January 1, 2024. The NCLT's order was uploaded to its website on February 27, 2026, and the scheme will become effective upon filing the certified copy with the Registrar of Companies, Kolkata. The amalgamation is expected to lead to better administrative control, cost efficiencies, prevention of duplication, and a streamlined group structure. It will enable optimal utilization of combined assets, enhance operational efficiency, and strengthen the financial structure for resource mobilization and improved cash flows. The Tribunal has sanctioned the scheme, making it binding on all petitioner companies, their shareholders, creditors, and debenture holders. All properties, rights, and powers of the transferor companies will be transferred to the transferee company, along with their debts, liabilities, and obligations. The employees of the transferor companies will be engaged by the transferee company, and pending proceedings will be continued by the transferee company.
