Nazara Technologies Limited has announced an extension for the acquisition of 4,276 Series A Compulsorily Convertible Preference Shares (CCPS) of Rusk Media Private Limited (RMPL). These shares represent 5.23% of RMPL's share capital on a fully diluted basis.

The acquisition was originally planned as per the terms of a Share Purchase Agreement (SPA) dated November 12, 2025, executed between Nazara Technologies Limited and its associate, Nodwin Gaming Private Limited. The timeline for this acquisition has now been extended up to February 10, 2026.

This disclosure is made in compliance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, and further to the company's previous disclosure on November 12, 2025.
