Narayana Hrudayalaya Limited convened and held meetings of its Equity Shareholders, Secured Creditors, Unsecured Loan Creditors, and Unsecured Trade Creditors on Monday, January 19, 2026. These meetings, held through Video Conferencing (VC) / Other Audio Visual Means (OAVM), were to consider and approve the Scheme of Arrangement for the amalgamation of its subsidiary, Meridian Medical Research & Hospital Ltd., with Narayana Hrudayalaya Limited.

The meetings commenced at various times: Equity Shareholders at 12:00 Noon, Secured Creditors at 2:00 P.M., Unsecured Loan Creditors at 3:00 P.M., and Unsecured Trade Creditors at 4:00 P.M.

Shri Murali Ananthasivan, appointed by the Hon’ble National Company Law Tribunal (NCLT), Bengaluru Bench, presided over the meetings. Shri Sachin Kumar Jhankal served as the Scrutinizer for the e-voting process. Shareholders and creditors had the option to vote remotely prior to the meetings, with e-voting facilities also available during the meetings for those who did not vote earlier.

No shareholders raised any queries or sought clarifications regarding the Scheme of Arrangement during their meeting. The resolutions proposed for the approval of the Scheme were put to vote. The proceedings and results of the meetings will be submitted to the stock exchanges separately on or before January 21, 2026, in the format prescribed under Regulation 44 of SEBI LODR.
