Narayana Hrudayalaya Limited convened meetings of its equity shareholders, secured creditors, unsecured loan creditors, and unsecured trade creditors on January 19, 2026, to approve the Scheme of Arrangement for the amalgamation of its subsidiary, Meridian Medical Research & Hospital Ltd., with the company.

The meetings, held via Video Conferencing (VC) / Other Audio Visual Means (OAVM), commenced at various times throughout the day, starting with equity shareholders at 12:00 Noon, followed by secured creditors at 2:00 P.M., unsecured loan creditors at 3:00 P.M., and unsecured trade creditors at 4:00 P.M. These meetings were conducted in compliance with the Companies Act, 2013, and SEBI Listing Regulations, following an Order passed by the Hon’ble National Company Law Tribunal (NCLT), Bengaluru Bench, on December 02, 2025.

Shri Murali Ananthasivan, appointed by the NCLT as Chairman, presided over the proceedings. Shri Sachin Kumar Jhankal served as the Scrutinizer for the e-voting process. Shareholders and creditors were provided with the scheme of arrangement, valuation report, fairness opinion, and other relevant disclosures. Remote e-voting facilities were available prior to the meetings, with in-meeting e-voting also provided for eligible participants.

No shareholders raised queries regarding the Scheme of Arrangement. The resolutions approving the Scheme were put forth for voting by the respective groups. The Chairman will incorporate the Scrutinizer's report into a final report to be filed with the Hon’ble NCLT. The results of the e-voting will be submitted to the stock exchanges separately by January 21, 2026.
