Samvardhana Motherson International Limited (the "Company") has completed the necessary procedures and responses required to obtain competition approvals for its acquisition of 81% stakes in Yutaka Giken Co., Ltd. ("YGCL") and an 11% stake in Shinnichi Kogyo Co., Ltd. ("Shinnichi"). These procedures were completed on December 23, 2025 (China), December 31, 2025 (Brazil), January 9, 2026 (Mexico), January 16, 2026 (Japan), and January 29, 2026 (United States). MGI B.V., an indirect wholly owned subsidiary of the Company, is now poised to commence the tender offer for YGCL shares in early February 2026. This follows the Company's earlier disclosure on August 29, 2025, regarding the acquisition plan. YGCL is a Japanese company listed on the Tokyo Stock Exchange, and Shinnichi is a subsidiary of YGCL, with YGCL holding a 62% ownership.
