Following the amalgamation, the Memorandum and Articles of Association of Megasoft Limited will be amended. The Transferee Company will be renamed 'SIGMA ADVANCED SYSTEMS LIMITED', and its authorized share capital will be consolidated to ₹250,00,00,000, comprising 25,00,00,000 equity shares of ₹10 each. The Board also noted compliance with Regulation 17 of SEBI LODR Regulations, 2015 regarding board constitution for the quarter ended September 30, 2025, and advised management on future compliance. Furthermore, the Board acknowledged the subsidiary and associate companies of the Transferee Company from the appointed date: Indrajaal Drone Defence India Private Limited (Associate Company) and Indorus Opto Sights Private Limited (Subsidiary Company). Additionally, Megasoft Limited approved extending corporate guarantees on behalf of Nasmyth Group. These guarantees are for Secure Trust Bank PLC (up to GBP 5.80 Mn), Thyssenkrupp Materials (UK) Limited (up to GBP 1.50 Mn), and Blaenavon Forgings Limited (up to GBP 1.50 Mn).
