Meesho Limited has announced a postal ballot to seek shareholder approval for key corporate matters. The company is proposing special resolutions to ratify and amend the "Meesho Limited - Employee Stock Option Plan 2024" (ESOP 2024 Plan). These amendments include deleting provisions related to cashless exercise of options, adding provisions for maximum vesting period, and deleting provisions related to settlement of options in compliance with SEBI regulations.

Furthermore, the company seeks approval to extend the benefits of the ESOP 2024 Plan to eligible employees of its subsidiaries, both in and outside India. This includes the authority for the Board to create, offer, issue, and grant employee stock options (ESOPs) and allot equity shares upon exercise, up to specific limits outlined in the plan. The total options authorized under Pool-1 are up to 75,33,809, exercisable into 36,91,56,641 equity shares, and under Pool-2, up to 17,72,475 options, exercisable into 10,63,48,500 equity shares.

In addition, an ordinary resolution will be proposed for the appointment of M/s. BMP & Co. LLP, Practising Company Secretaries, as the Secretarial Auditors of the Company for a term of five consecutive financial years, from FY 2025-26 to FY 2029-30. The notice for the postal ballot is being sent electronically to all members whose email addresses are registered and who appear in the Register of Members as of January 09, 2026. Remote e-voting will commence on Wednesday, January 14, 2026, at 09:00 A.M. IST and conclude on Thursday, February 12, 2026, at 05:00 P.M. IST. The results of the e-voting, along with the scrutinizer's report, will be announced within two working days from the conclusion of the e-voting period.
