Manaksia Limited convened a meeting of its equity shareholders on Saturday, January 10, 2026, through Video Conferencing (VC)/Other Audio Visual Means (OAVM). This meeting was held as per the directions of the Hon’ble National Company Law Tribunal (NCLT), Kolkata Bench, vide its order dated November 17, 2025.

The meeting, which commenced at 11:00 A.M. (IST), was chaired by Mr. Kuldip Mullick, Advocate, as directed by the NCLT. The Company Secretary, Mr. Debdip Chowdhury, welcomed the shareholders and introduced the directors and dignitaries present.

As of the record date, January 3, 2026, there were 35,743 shareholders. The meeting was attended by 106 members via VC/OAVM. Ms. Barsha Dikshit was appointed as the Scrutinizer by the NCLT to oversee the proceedings.

The primary agenda of the meeting was to consider and approve a Scheme of Arrangement between Manaksia Limited, Manaksia Ferro Industries Limited, and their respective shareholders and creditors. Shareholders were informed about the remote e-voting facility, which was available from January 7, 2026, to January 9, 2026, and also during the meeting for those who had not voted remotely. The voting window remained open for thirty minutes after the conclusion of the Meeting.

Shareholders expressed their views and sought clarifications on the Scheme of Arrangement. Mr. Suresh Kumar Agrawal, Managing Director, provided the necessary responses. The voting results, along with the Scrutinizer's Report, will be submitted to the stock exchanges and hosted on the company's website and the NSDL e-voting platform within the prescribed time.
