The resolution concerning the approval of this Scheme of Arrangement, as detailed in the notice dated December 5, 2025, was passed by the shareholders with the requisite majority. This approval was obtained through remote e-voting and e-voting conducted during the meeting.

The voting period for remote e-voting commenced on January 7, 2026, and concluded on January 9, 2026. Shareholders of record as of January 3, 2026, were eligible to vote.
