Magellanic Cloud Limited has announced an Extra-Ordinary General Meeting (EOGM) scheduled for Tuesday, February 03, 2026, at 12:00 PM IST, to be conducted through Video Conferencing/Other Audio Visual Means. The meeting will address several key business items.

Firstly, the company will consider and approve a Scheme of Merger with IVIS International Private Limited through a fast-track route, as per Section 233 of the Companies Act, 2013. The appointed date for the merger is April 01, 2025.

Secondly, the appointment of Mr. Narasimha Rao Chundu (DIN: 11403461) as an Independent Director for a term of five years, from February 03, 2026, to February 02, 2031, will be considered.

Thirdly, the company plans to raise capital up to ₹500 Crores through a Qualified Institutional Placement (QIP) of equity shares and/or other eligible securities to eligible investors. The allotment is to be completed within 365 days of passing the special resolution.

Fourthly, the appointment of Mr. Ameeruddin Syed (DIN:06419899) as a Whole Time Director for a term of five years, from February 03, 2026, to February 02, 2031, will be proposed.

Finally, the re-designation of Mr. Joseph Sudheer Reddy Thumma (DIN: 07033919) as the Chairman and Managing Director (CMD) for a further period of five years, effective February 03, 2026, to February 02, 2031, will be put forth for approval.

The cut-off date for voting on EGM resolutions is January 27, 2026. E-voting will commence on January 31, 2026, at 9:00 AM and end on February 02, 2026, at 5:00 PM. The notice of the EGM is available on the company's website.
