Linde India Limited has announced the passing of resolutions by postal ballot through electronic voting, following up on its earlier communication dated 29th December 2025. The company is seeking approval from its members for the appointment of Mr. Milan Sadhukhan (DIN: 03082335) as Director and Managing Director for a term of three years, effective from 1st January 2026 to 31st December 2028.

The Postal Ballot Notice was sent electronically to all members as of the cut-off date, Friday, 2nd January 2026. The remote e-voting period commenced on Thursday, 15th January 2026, at 9:00 a.m. and concluded on Friday, 13th February 2026, at 5:00 p.m. The results of the postal ballot are expected to be announced on or before Sunday, 15th February 2026.

Mr. Milan Sadhukhan, a qualified Chartered Accountant and Cost & Management Accountant with over 25 years of experience, was appointed as an Additional Director and Managing Director by the Board on 29th December 2025, based on the recommendation of the Nomination and Remuneration Committee. His remuneration package includes a basic salary of ₹6,300,000 per annum, variable performance pay, a special allowance, provision for a car with running and maintenance expenses, insurance premiums, mobile allowances, club fees, and contributions to provident and gratuity funds. The appointment is subject to member approval and will be effective from 1st January 2026.
