LEEL Electricals Limited (formerly Lloyd Electric & Engineering Limited) has submitted a certificate under Regulation 74(5) of the SEBI (Depositories and Participants) Regulations, 2018, for the quarter ended December 31, 2025. This submission is in compliance with regulatory requirements.

The company is undergoing a capital restructuring following orders from the National Company Law Tribunal, Allahabad Bench, dated March 21, 2024, and October 23, 2024, as part of its acquisition under the Insolvency and Bankruptcy Code, 2016. The Board of Directors has approved several key actions. These include the cancellation and extinguishment of the entire existing equity share capital held by the erstwhile promoters without any payout. Additionally, the shareholding of existing public shareholders has been reduced to one equity share for every forty-three shares held as of the record date, November 22, 2024, also without any payout.

Further, the company has approved the proportionate allotment of 5,43,011 equity shares to eligible public shareholders as on the record date of November 22, 2024, in a 1:43 ratio. This is aimed at achieving the minimum public shareholding of 5% post-issue. The Board also approved a preferential issue and allotment of 1,02,60,000 equity shares to the acquirer and its affiliates/nominees/strategic investors on July 26, 2025.

Corporate Action Forms and Listing Applications have been filed with the relevant depositories and stock exchanges and are currently under process.
