* Kellton Tech Solutions Ltd. will acquire Kumori Technologies Services Private Limited by subscribing to its equity shares. * The aggregate consideration for the acquisition is up to ₹52.50 crore. * Upon completion, Kellton Tech will hold 100% of Kumori's paid-up share capital, making Kumori a Wholly Owned Subsidiary. * Kumori Technologies is a ServiceNow focused IT services firm, established in 2018. * Initial payment of ₹26.50 crore (approx) will be completed on or before Q3 of the Financial Year 2025 –26. * Earn-out consideration of ₹26 crore will be paid based on Kumori's performance over the three financial years following the initial acquisition. * Kumori's revenue for FY23, FY24 and FY25 were ₹15.90 crore, ₹16.24 crore, and ₹18.56 crore respectively.
