Kalpataru Projects International Limited (KPIL) has announced the completion of the sale of its entire 100% stake in its wholly owned subsidiary, Vindhyachal Expressway Private Limited (VEPL), to Actis Atlantic Holdings Limited. The transaction was completed on January 16, 2026, at 07:10 p.m. IST.

This development follows the definitive agreement entered into on October 9, 2024, and subsequent updates on January 7, 2026, regarding the progress of approvals and compliances. The sale was subject to requisite approvals and the fulfillment of conditions precedent, with an initial expected completion timeline of 15 months from the date of the definitive agreement.

As a result of this transaction, KPIL's shareholding in VEPL has reduced to Nil, and VEPL is no longer a subsidiary of KPIL. The initial announcement on October 9, 2024, detailed that VEPL contributed approximately ₹85.07 Crores in revenue and had a net worth of approximately ₹144.55 Crores as of March 31, 2024. These figures represented about 0.43% of KPIL's consolidated revenue and 2.81% of its consolidated net worth for the financial year ended March 31, 2024. The estimated enterprise value for the transaction was approximately ₹775.00 Crores, subject to closing adjustments. The buyer, Actis Atlantic Holdings Limited, is not part of KPIL's promoter or group companies.
