IRB Infrastructure Developers Limited convened an Extraordinary General Meeting (EGM) on January 13, 2026, commencing at 11:00 AM IST and concluding at 11:40 AM IST. The meeting was conducted via Video Conferencing (VC) / Other Audio Visual Means (OAVM) to address business as per the notice dated December 21, 2025.

The EGM focused on transacting business requiring an ordinary resolution, specifically to consider and approve material related party transactions concerning the Corridor of Lucknow - Ayodhya - Gorakhpur (NH-27) and Lucknow - Sultanpur (NH-731) (TOT-17) TOT Project. The company provided facilities for remote e-voting and e-voting during the EGM through its service provider, KFin Technologies Limited.

During the meeting, 6 promoters/promoter group members and 49 public shareholders attended via video conferencing. The voting results indicated that the ordinary resolution regarding material related party transactions was passed with a substantial majority. Out of the 939,482,699 votes polled, 936,039,638 votes were in favour, representing 99.63% of the votes polled. Votes cast by related parties were not considered in the final result. The company also noted that voting rights on shares transferred to the 'Unclaimed Suspense Account' and the 'Investor Education and Protection Fund' were frozen.
