Integra Essentia Limited announced that its Board of Directors, in a meeting held on January 17, 2026, approved an increase in the company's authorised share capital from ₹150 Crore to ₹175 Crore. This includes a change in the Memorandum of Association relating to share capital, subject to shareholder approval.

The Board also approved changes in Directors and Key Managerial Personnel. Ms. Shweta Singh resigned from her positions as whole-time director and Chief Financial Officer (CFO) with effect from January 17, 2026, citing personal reasons. Concurrently, Mr. Atul Sharma was appointed as an Additional Director (Executive) and Whole Time Director for a period of 5 years, commencing January 17, 2026, ending January 16, 2031. He was also appointed as the Chief Financial Officer (CFO) of the company with immediate effect.

Following these changes, the company will reconstitute various Board committees. The Board also decided to seek shareholder approval through an Extraordinary General Meeting (EGM) for the appointment of Mr. Atul Sharma as a whole-time director and approved the draft notice for the EGM, appointing a scrutinizer for the process.
