The acquisition, to be made directly and/or through its step-down subsidiaries ANK Hotels Private Limited and Pride Hospitality Private Limited, will involve an aggregate investment not exceeding ₹225 crore (Indian Rupees Two Hundred and Twenty Five Crore only).
Brij Hospitality Private Limited operates 22 hotels under the 'Brij' brand, with 11 currently in operation, focusing on boutique leisure segment across India. The Target's turnover was ₹62.31 crore in FY 2024-2025, ₹51.35 crore in FY 2023-2024, and ₹31.87 crore in FY 2022-2023. The transaction is being conducted at arm's length, although one seller shareholder is related to a director of Pride Hospitality Private Limited.
The acquisition aims to develop IHCL's boutique leisure segment across India while continuing its capital-light growth strategy. The deal is expected to be completed on or before March 31, 2026, subject to the fulfillment of certain condition precedents. The consideration will be in cash.
