India Pesticides Limited (IPL) announced that its Board of Directors, through a circular resolution passed on January 12, 2026, has approved the appointment of Mr. Arun Kumar Jain as an Additional Director in the capacity of Non-Executive Independent Director. The appointment is for a period of five years, subject to shareholders' approval.

Mr. Jain is a former Indian Revenue Service (IRS) officer from the 1978 batch, who retired as Chairman of the Central Board of Direct Taxes (CBDT) on January 31, 2016. He holds an M.Sc. in Mathematics and an LL.B. degree. Throughout his career, he held various senior positions within the Income Tax Department, gaining extensive experience in accounting, financial analysis, investigation, tax law interpretation, and public administration. He currently serves as an Independent Director for GHCL Limited, a company with an annual turnover of approximately ₹3,200 crore.

The Board also approved the reconstitution of committees, the draft postal ballot notice for the appointment of Non-Executive Independent Directors, and appointed RTA & NSDL for postal ballot and e-voting. Mr. Saket Sharma, a Practicing Company Secretary, has been appointed as the Scrutinizer for the postal ballot process.

The remote e-voting period for the postal ballot will commence on February 5, 2026, and conclude on March 6, 2026. The cut-off date for determining the eligibility of shareholders to vote has been set as January 28, 2026. The notice of postal ballot will be circulated in due course and filed with the stock exchanges.
