India Pesticides Limited (IPL) announced the outcome of a circular resolution passed by its Board of Directors on January 12, 2026. The board approved the appointment of Mr. Arun Kumar Jain (DIN: 07563704) as an Additional Director in the capacity of Non-Executive Independent Director for a period of five years, subject to shareholders' approval.

Mr. Jain is a former Indian Revenue Service (IRS) officer (1978 batch) who retired as Chairman of the Central Board of Direct Taxes (CBDT) in January 2016. He holds an M.Sc. in Mathematics and an LL.B. degree. His career includes significant roles in the Income Tax Department, such as Director General (Investigation) and Chief Commissioner of Income Tax. He has extensive experience in accounting, financial analysis, tax law, and public administration. Post-retirement, he has served as an Independent Director on the boards of various companies, including GHCL Limited, which has an annual turnover of approximately ₹3,200 crore.

Mr. Jain is not related to any of the Directors, Key Managerial Personnel, Promoters, or Promoter group of India Pesticides Limited and is not debarred from holding the office of Director by any SEBI order or other authority. The board also approved the reconstitution of committees and the draft postal ballot notice for the appointment of non-executive independent directors, along with appointing RTA & NSDL for postal ballot and e-voting, and a scrutinizer for the process.

The remote e-voting period will commence on February 5, 2026, and conclude on March 6, 2026. The cut-off date for determining the eligibility of members to vote is January 28, 2026. Mr. Saket Sharma, a Practicing Company Secretary, has been appointed as the Scrutinizer for the postal ballot through remote e-voting.
