The transaction is all-cash, with deferred performance/milestone-based consideration. * Cake Group is a healthcare marketing and communications agency operating across Austria, Germany, and Switzerland (DACH region), providing services such as brand strategy, creative campaign development, and digital marketing solutions. * This acquisition aims to strengthen Indegene's European presence and expand its capabilities in healthcare communications. * Cake Group reported revenues of EUR 3.78 Million (approximately ₹3.40 crore) in FY 2024, EUR 3.10 Million (approximately ₹2.79 crore) in FY 2023, and EUR 3.18 Million (approximately ₹2.86 crore) in FY 2022. * The acquisition is subject to clearance under the Austrian Investment Control Act (InvKG) and is expected to be completed in January 2026.
