The Indian Hotels Company Limited (IHCL) has announced a strategic partnership with Brij Hospitality Pvt Ltd, acquiring a 51% stake in the company for an investment of up to ₹225 Crore.

This acquisition will onboard a partner with a portfolio of boutique leisure hotels offering unique experiences in India's tourism landscape. Brij Hospitality currently operates 11 hotels with 145 keys and has a pipeline of 11 hotels with 295 keys. The existing management team will continue to drive business momentum and future growth.

The transaction structure involves a primary investment and secondary share purchase, with IHCL's combined holding expected to be approximately 51%. The deal is valued at an implied multiple of around 10.5x to 11.5x the projected FY27E EBITDA. IHCL will also receive distribution and marketing fees from the Brij portfolio hotels.

Financially, Brij Hospitality's total revenue is projected to grow from ₹60 Crore in FY25 to ₹90-100 Crore in FY27E, with EBITDAR expected to increase from ₹18 Crore to ₹34-38 Crore. The company anticipates robust growth with revenues scaling in line with its pipeline. As part of the transaction, IHCL will execute a Taj Branded Residence Agreement along with a Management Contract for an identified Brij hotel cum villa property.
