HCL Technologies Limited announced that its Nomination and Remuneration Committee (NRC), in a meeting held on January 8, 2026, has granted Restricted Stock Units (RSUs) to eligible employees under the HCL Technologies Limited - Restricted Stock Unit Plan 2021 and HCL Technologies Limited - Restricted Stock Unit Plan 2024.

Under the RSU Plan 2021, an aggregate of 601 RSUs have been granted to 1 eligible employee. Under the RSU Plan 2024, an aggregate of 24,659 RSUs have been granted to 5 eligible employees of the Company and its subsidiaries. Each RSU entitles the holder to one fully paid-up equity share of ₹2 each upon vesting and exercise. Consequently, up to 25,260 equity shares of ₹2 each, representing approximately 0.001% of the paid-up equity share capital as of the grant date, may be transferred.

The RSU Plans are implemented through a trust mechanism that acquires shares from the secondary market, thus avoiding the issuance of fresh shares by the Company. The grants are in compliance with SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. The vesting dates for the RSUs are staggered, with the RSU Plan 2021 having a vesting date of June 30, 2028, and the RSU Plan 2024 having vesting dates on January 31, 2027, June 30, 2027, and March 31, 2028. Vested RSUs can be exercised within six months from their respective vesting dates, at an exercise price of ₹2 per RSU (par value). There will be no dilution of earnings per share as no new shares are being issued. Additionally, 23,925 previously approved RSUs under the RSU Plan 2024 have been cancelled.
