GNG Electronics Limited has announced the successful outcome of its postal ballot e-voting process, with all proposed resolutions passed by the requisite majority.

The resolutions included the approval of the Electronics Bazaar Employees Stock Option Scheme 2024 and its alignment and ratification, as well as the extension of grants under this scheme to eligible employees of subsidiaries, associates, and the holding company. These special resolutions received strong support, with over 96% of votes in favor.

Furthermore, shareholders approved material related party transactions. The first ordinary resolution concerned transactions between Electronics Bazaar FZC, a subsidiary, and Electronics Bazaar FZC itself (as a subsidiary of the company). The second ordinary resolution pertained to transactions between Electronics Bazaar FZC and Bright World Technologies Inc., a wholly-owned subsidiary of Electronics Bazaar FZC. Both related party transaction resolutions passed with approximately 97.4% of the votes in favor.

The postal ballot notice was initially communicated on December 12, 2025. The e-voting period commenced on December 17, 2025, and concluded on January 15, 2026. The Scrutinizer's Report, confirming the voting results, was submitted on January 16, 2026.
