GB Global Limited has announced that the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, passed an order on January 8, 2026, which the company received on January 19, 2026. This order pertains to the Scheme of Merger by Absorption between GB Global Limited (Transferor Company) and Dev Land and Housing Private Limited (Transferee Company).

The NCLT has admitted the petition and fixed it for hearing and final disposal on February 20, 2026. The tribunal has directed the petitioner to issue notices to statutory authorities as required under Rule 8 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, informing them of the hearing date. These authorities have thirty days from the receipt of notice to file any representation, failing which it will be presumed they have no objections.

The company is also required to publish the notice of hearing in two local newspapers, one in English (Business Standard) and one in the local vernacular language (Navshakti), at least 10 days before the hearing date, as per Rule 7 of the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016. Furthermore, the petitioner companies shall host notices along with the copy of the Scheme on their respective websites, if any.
