Firstsource Solutions Limited (Company) announced that its step-down subsidiary, Firstsource Health Plans and Healthcare Services, LLC (Firstsource HPHS), has executed a share purchase agreement (SPA) to acquire 100% ownership in TeleMedik for a consideration not exceeding USD 3.0 million. The acquisition is subject to the terms outlined in the SPA.

Upon completion, TeleMedik will become a subsidiary of Firstsource HPHS and a step-down subsidiary of the Company. TeleMedik is a Puerto Rico-based outsourced service provider offering healthcare and telehealth solutions, operating in the US Healthcare Contact Centre industry. This acquisition aims to expand and strengthen Firstsource's presence in clinical care services and provide access to the US provider and payer ecosystem.

The transaction does not involve related parties and no promoter, promoter group, or group companies have an interest in TeleMedik. The acquisition was executed and closed on 13th January 2026. The aggregate consideration includes an upfront payment and earn-outs. TeleMedik's revenues were USD 14.8 million for Jan 2024 – Dec 2024, USD 14.2 million for Jan 2023 – Dec 2023, and USD 12.7 million for Jan 2022 – Dec 2022. TeleMedik was incorporated on 26 December 1995 and has a presence in Puerto Rico and the US.
