Brainbees Solutions Limited (FirstCry) has approved an intra-group restructuring involving the acquisition of additional shares in its subsidiary, Swara Baby Products Private Limited, through a share swap. As part of this restructuring, FirstCry will acquire 56,26,738 equity shares in Swara Baby in exchange for 52,890 Series A1 equity shares it holds in Solis Hygiene Private Limited, another subsidiary. This transaction will increase FirstCry's shareholding in Swara Baby from 75.92% to 76.59%. Consequently, Swara Baby will acquire 100% of Solis Hygiene, making it a step-down subsidiary of FirstCry, with FirstCry maintaining an indirect control of 76.59% in Solis Hygiene. This move aims to consolidate the hygiene vertical under a single roof and improve financial reporting at Swara Baby's level. The acquisition of Solis Hygiene by Swara Baby is expected to be completed by December 31, 2025, with a cost of ₹106.38 crore. The acquisition of additional shares in Swara Baby by FirstCry has a cost of ₹84.40 crore and is also expected to be completed by December 31, 2025. In other significant updates, Ms. Neha Surana has resigned as Company Secretary and Compliance Officer, effective December 26, 2025, due to personal reasons, though she will remain with the company's secretarial team. Mr. Mandar Joshi has been appointed as the new Company Secretary and Compliance Officer, effective December 27, 2025. Mr. Joshi brings over 12 years of experience in company secretarial assignments, corporate law compliance, and governance.
